To grant a licence or make a technology transfer in favour of a third party means allowing this third party to use intellectual property rights belonging to you in exchange for payment. The licencee may be authorized to manufacture, use and market products and services based on your know-how, trade-marks, patents, designs, copyrights and other innovations. It is therefore important to include in your licensing or sale agreements all of the necessary provisions to protect yourself in Canada and abroad. Also, in case of a dispute, appropriate dispute resolution mechanisms should be provided for, such as mediation or arbitration.
